These Terms of Use apply when you use the products and services of CODY AI, L.L.C. or our affiliates, including our application programming interface, software, tools, developer services, data, documentation, and website.

These Terms govern your use of Xoya, owned by Virtue Xolutions, and are applicable to users in Pakistan, UAE, USA, and Canada.
1. Service Overview
Xoya is a SaaS AI platform that automates business operations like marketing, sales, customer support, and logistics.
2. User Responsibilities
- Provide accurate business data.
- Comply with the terms of third-party platforms you connect (e.g., Gmail, Shopify).
- Maintain confidentiality of login credentials.
3. Subscriptions & Payments
- Monthly subscription plans: Basic, Pro, Enterprise.
- Prices are listed in USD. Taxes may apply as per local laws.
- Failure to pay may lead to account suspension.
4. Restrictions
You agree not to:
- Misuse the platform for spam, hacking, or unlawful activity.
- Reverse-engineer, copy, or redistribute Xoya’s system.
- Violate intellectual property rights of Virtue Xolutions.
5. Intellectual Property
All code, design, trademarks, and data systems are owned by Virtue Xolutions and protected under copyright and trademark laws of Pakistan, UAE, USA, and Canada.
6. Limitation of Liability
To the maximum extent permitted by applicable law:
- We are not liable for indirect or incidental damages.
- Our liability will not exceed the amount paid by you in the last 3 months.
7. Termination
Virtue Xolutions may suspend or terminate accounts that breach these terms. You may cancel your subscription anytime.
8. Governing Law & Jurisdiction
Depending on your region:
- Pakistan: Governed by the laws of Pakistan. Jurisdiction: Lahore High Court.
- UAE: Governed by UAE Civil Code. Jurisdiction: Dubai Courts.
- USA: Governed by the laws of the State of Delaware. Jurisdiction: Delaware courts.
- Canada: Governed by Canadian Federal and Provincial Law. Jurisdiction: Ontario Courts.
9. Dispute Resolution
In case of disputes, parties will attempt to resolve issues amicably. If unresolved, disputes will be resolved under the relevant jurisdiction’s laws listed above.
